Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Penni Tech LLC ("Penni Tech", "we", "us", "our"), including the SAM Dashboard platform at sam.penni-tech.com, the website at penni-tech.com, AI Solutions consulting services, and TradeVision AI (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
Plain language summary: Use SAM for your business. Don't misuse it. Your data is yours. We'll do our best to keep things running, but we're a small company and can't guarantee 100% uptime. If something goes wrong, our liability is limited to what you've paid us.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By creating an account, you represent that you meet these requirements.
2. Account Registration
- Access to SAM Dashboard is by invitation only. You may request access through our website or receive an invitation from an administrator.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information during registration and keep it up to date.
- You must notify us immediately at info@penni-tech.com if you suspect unauthorized access to your account.
3. Acceptable Use
You agree to use our Services only for lawful business purposes. You agree not to:
- Use the Services for any illegal activity or to facilitate illegal transactions
- Attempt to gain unauthorized access to other users' accounts, data, or tenant environments
- Interfere with or disrupt the Services, servers, or networks connected to the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit malware, spam, or other harmful content
- Resell, sublicense, or redistribute access to the Services without our written consent
- Use automated tools (bots, scrapers, crawlers) to access the Services except through our documented APIs
- Upload or store content that infringes on the intellectual property rights of others
4. Your Data
Ownership
You retain all ownership rights to the data you upload, create, or connect to SAM Dashboard ("Your Data"). We do not claim ownership of Your Data.
License to us
By using the Services, you grant us a limited, non-exclusive license to access, process, store, and display Your Data solely for the purpose of providing the Services to you. This includes processing Your Data through third-party APIs (such as AI classification via Anthropic, address lookup via Google Maps, and accounting sync via Intuit QuickBooks) as described in our Privacy Policy.
Data isolation
Each SAM Dashboard account operates in an isolated environment. Your Data is stored separately from other users' data and is not accessible by other users.
Data deletion
When your account is terminated or deleted, we will permanently delete Your Data from our systems. You may request data export or deletion at any time by contacting info@penni-tech.com.
5. Connected Third-Party Services
SAM Dashboard allows you to connect third-party services including but not limited to:
- Email providers via IMAP (Gmail, Outlook, Yahoo, Zoho, etc.)
- QuickBooks Online via Intuit's OAuth 2.0 API
When you connect a third-party service:
- You authorize us to access data from that service on your behalf, within the scope of permissions you grant.
- You are responsible for complying with the third party's terms of service.
- We are not responsible for the availability, accuracy, or security of third-party services.
- You may disconnect any third-party service at any time through the Integrations page. Disconnecting stops future data sync but does not automatically delete previously synced data from SAM.
- Your use of QuickBooks data through SAM is subject to Intuit's terms in addition to these Terms.
6. AI-Powered Features
SAM Dashboard uses artificial intelligence (powered by Anthropic's Claude API) for features including email classification, bill detection, business analysis, and service rate suggestions. Regarding AI features:
- AI-generated classifications, suggestions, and analyses are provided for informational purposes and may not always be accurate.
- You should verify AI-generated outputs before making business decisions based on them.
- We are not responsible for losses resulting from reliance on AI-generated content.
- Data sent to the AI for processing is handled according to our Privacy Policy and Anthropic's data handling practices.
7. Service Availability
We strive to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. Specifically:
- The Services are provided on an "as is" and "as available" basis.
- We may perform maintenance, updates, or improvements that temporarily affect availability.
- We are not responsible for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.
- During the pilot period, the Services are offered at no cost. We reserve the right to introduce pricing in the future with reasonable notice.
8. Intellectual Property
The Services, including all software, design, text, graphics, and documentation, are owned by Penni Tech LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
The SAM name, Penni Tech name, and associated logos are trademarks of Penni Tech LLC. You may not use our trademarks without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Penni Tech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Our total liability for any claim arising from or related to these Terms or the Services shall not exceed the total amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
- We are not liable for any loss or damage resulting from unauthorized access to your account due to your failure to safeguard your credentials.
10. Indemnification
You agree to indemnify and hold harmless Penni Tech LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third party's rights
11. Termination
- By you: You may stop using the Services at any time. To close your account and delete Your Data, contact info@penni-tech.com.
- By us: We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms or the Acceptable Use provisions.
- Upon termination, your right to use the Services ceases immediately. We will delete Your Data in accordance with our Privacy Policy.
12. Modifications to Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify active users via email at least 14 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts located in the District of Columbia.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Penni Tech LLC regarding your use of the Services and supersede any prior agreements or communications.
